Terms of Service

1. Agreement to Terms

By downloading, installing, accessing, or using Pace (the "Application" or "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use Pace.

2. Description of the Service

Pace is a local-first productivity mobile application designed to promote calm, single-task execution through structured step decomposition, timeboxing, and visual focus anchors. Pace is offered on iOS and compatible platforms.

3. License & Acceptable Use

Subject to your compliance with these Terms, Pace grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the App on mobile devices owned or controlled by you, solely for your personal, non-commercial productivity purposes.

You agree not to:

• Decompile, reverse-engineer, disassemble, or attempt to extract the source code of the Application;
• Modify, adapt, translate, or create derivative works based upon the Application;
• Use the Application for any unlawful, fraudulent, or harmful purpose;
• Abuse, overload, or disrupt our AI decomposition services or any underlying infrastructure.

4. AI-Generated Suggestions

Pace incorporates artificial intelligence capabilities (powered by Google Gemini) to break complex projects into manageable micro-steps. While we strive to provide helpful and actionable guidance:

• AI-generated breakdowns and timebox estimates are recommendations only;
• You retain sole discretion and responsibility for evaluating the safety, accuracy, and suitability of any task suggested by the App;
• Pace does not guarantee that following AI-suggested steps will achieve any specific commercial, educational, or personal outcome.

5. Subscriptions, Free Trials, and In-App Purchases

Pace provides basic functionality for free and offers enhanced capabilities through an optional Pace Pro auto-renewing subscription.

A. Free Trial Period

We may offer a 7-day free trial for Pace Pro. Unless you cancel your trial at least 24 hours before the trial ends, your trial will automatically convert into a paid auto-renewing subscription charged to your Apple ID account.

B. Automatic Renewal & Billing

Subscriptions automatically renew at the end of each billing cycle (monthly or annually) at the price selected at confirmation of purchase, unless auto-renew is turned off at least 24 hours before the end of the current billing period. Your Apple ID will be charged for renewal within 24 hours prior to the end of the current cycle.

C. Managing and Cancelling Subscriptions

You can manage, change, or cancel your subscription at any time directly through your device's account settings:

Open iPhone Settings > Tap your Name / Apple ID > Subscriptions > Select Pace > Cancel Subscription.

D. Refunds

All in-app purchases and subscriptions are processed directly through Apple's App Store. Consequently, refund requests must be submitted directly to Apple in accordance with Apple's Media Services Terms and Conditions (reportaproblem.apple.com). Pace does not have direct access to your billing details and cannot issue direct refunds.

6. Intellectual Property

The Application, including its user interface, visual identity, graphics, icons, typography, software code, and sound design, is owned by Pace and is protected by copyright, trademark, and other applicable intellectual property laws. All rights not expressly granted to you are reserved by Pace.

7. Data & Privacy

Your privacy is central to how Pace is built. All personal task information and project data are stored locally on your device. Please review our Privacy Policy to understand our practices regarding data handling and our local-first architecture.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PACE, ITS FOUNDERS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE APPLICATION; (B) ANY AI-GENERATED OUTPUT OR RELIANCE THEREON; OR (C) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR LOCAL TRANSMISSIONS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Governing Law

These Terms and any dispute arising out of or related to your use of Pace shall be governed by and construed in accordance with the laws of Germany and the European Union, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. When modifications occur, we will revise the "Last updated" date at the top of this document. Continued use of Pace following notice of any updates constitutes your acceptance of the revised Terms.
